SaaS Subscription Agreement

IQRA PharmaNet — Software as a Service Last Updated: August 2026

This SaaS Subscription Agreement ("Agreement") is entered into between:

Service Provider: IQRA Clinical AI Systems ("Provider") Customer: The pharmacy, surgical/medical equipment shop, or Ayurvedic shop completing online registration ("Subscriber")


1. Definitions


2. Grant of License

2.1 License

Provider grants Subscriber a limited, non-exclusive, non-transferable, revocable license to: - Access and use the Service during the Subscription Term - Allow Authorised Users to access the Service - Store and manage Subscriber's business operational data

2.2 Restrictions

Subscriber shall NOT: - Sub-license, resell, or provide the Service to third parties - Reverse engineer or attempt to access source code - Use the Service to build a competing product - Remove or alter Provider's branding without written permission - Exceed Authorised User limits of the selected plan

3.2 Plan Selection

Subscriber selects a plan at registration. Plan changes take effect at the next billing cycle, or immediately upon manual request to support.

Provider may revise fees with 30 days' written notice. Subscriber's continued use after a price change constitutes acceptance.


5. Service Levels

5.1 Availability

Provider targets 99% monthly uptime for the Service (excluding scheduled maintenance).

5.2 Scheduled Maintenance

Maintenance windows are communicated at least 24 hours in advance where possible. Emergency maintenance may occur with shorter notice.

5.3 Support

Support is available via email at admin@iqraclinicalai.com for all plans. Response times are handled on a best-effort basis and are not currently tiered by plan.


6. Data Ownership and Processing

6.1 Subscriber Data

Subscriber retains full ownership of all Data entered into the Service.

6.2 Provider's Role

Provider acts as Data Processor. Subscriber is the Data Fiduciary under DPDPA 2023.

6.3 Data Processing Agreement

By accepting this Agreement, Subscriber agrees Provider may: - Store Data on secure servers - Create regular backups for disaster recovery - Access Data for support purposes with Subscriber's permission - Use anonymised, aggregated data for service improvement

6.4 Data Security

Provider implements: - HTTPS/TLS encryption for data in transit - Password hashing using industry-standard cryptographic algorithms - Access-restricted database and backup infrastructure - We are working towards encrypting backup files at rest as a further hardening step

6.5 Data Export

Subscriber may export business data (medicines/products, sales, purchases, invoices) at any time in CSV or PDF format from the Admin Panel. For a broader personal-data export request, email admin@iqraclinicalai.com.


7. Business Compliance Obligations

Subscriber warrants and agrees to: - Maintain a valid Drug License throughout the Subscription Term, where applicable to their business type (Pharmacy accounts) - Comply with all applicable regulations for their business type (e.g. Drugs and Cosmetics Act, 1940 for Pharmacy accounts) - Not dispense prescription medicines without a valid prescription (Pharmacy accounts) - Ensure staff are trained on legal operational requirements for their business - Comply with CDSCO e-pharmacy guidelines if operating online (Pharmacy accounts)

Provider is NOT responsible for Subscriber's regulatory compliance.


8. Intellectual Property

8.1 Provider IP

All rights to IQRA PharmaNet software, algorithms, UI designs, and documentation are owned by Provider.

8.2 Subscriber IP

Subscriber retains all rights to their business data, product catalog, and customer information.

8.3 Feedback

If Subscriber provides feature suggestions or feedback, Provider may use this to improve the Service without compensation.


9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and not to disclose it to third parties without written consent.


10. Warranties and Disclaimers

10.1 Provider Warranties

Provider warrants that: - The Service will substantially perform as described in documentation - Provider has the right to grant the license in this Agreement

10.2 Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE. PROVIDER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.


11. Indemnification

11.1 By Subscriber

Subscriber shall indemnify Provider against claims arising from: - Subscriber's violation of applicable law - Incorrect medicine/product dispensing decisions - Third-party claims relating to Subscriber's business operations

11.2 By Provider

Provider shall indemnify Subscriber against claims of infringement of third-party IP by the Service.


12. Limitation of Liability

Provider's total liability under this Agreement shall not exceed the fees paid by Subscriber in the 3 months preceding the claim. Provider is not liable for indirect, consequential, or punitive damages.


13. Term and Termination

13.1 Term

This Agreement begins on registration date and continues until terminated.

13.2 Termination by Subscriber

Subscriber may request termination at any time by emailing admin@iqraclinicalai.com. Self-service cancellation from the Admin Panel is planned for a future update.

13.3 Termination by Provider

Provider may terminate with: - 30 days' notice for any business reason - Immediate termination for material breach (fraud, regulatory violation)

13.4 Effect of Termination


14. General Provisions

14.1 Governing Law

This Agreement is governed by laws of India. Disputes: courts of Hyderabad, Telangana.

14.2 Entire Agreement

This Agreement, together with the Privacy Policy and Refund Policy, constitutes the entire agreement between parties.

14.3 Modifications

Provider may modify this Agreement with 15 days' notice. Continued use constitutes acceptance.

14.4 Severability

If any provision is unenforceable, remaining provisions continue in full force.
